Union Minière tenths of shares

The shares were the ones representing the Union Minière capital before the merger with Société Générale de Belgique in 1981.

These shares can be recognized by the code 3525-33 (upper right corner of each share and coupon).

As from 2 April 1982 such 1/10th Union Minière shares, with coupons 45 and following attached, were exchangeable at a rate of 9 for 5 “parts de réserve” Société Générale de Belgique, coupons 11 and following attached.

In 1999 the “parts de réserve” Société Générale de Belgique were exchanged for Suez shares.
Presently the tenths of Union Minière shares can be exchanged at the rate of 9 for 35 Suez shares with VVPR strips.

If the shareholder has not a multiple of 9 tenths of Union Minière, he/she/it can, through a Belgian bank, sell these tenths at the “Public Sales” or buy, in the same way, the missing number of tenths to get a multiple of 9 (if any available of course, this market being very narrow).

The exchange procedure requires that the nine tenths have to be handed over to the “Caisse de Dépôts et Consignation”, Rue du Commerce, 96, B-1040 Brussels

Caisse de Dépôts et Consignation will deliver a receipt. This receipt has to be presented to the National Bank of Belgium in Brussels which will then deliver the Suez shares and the VVPR strips.

The funds for the unpaid dividends of the Société Générale de Belgique parts de réserve and of the Suez shares being deposited at the “Caisse de Dépôts et Consignation”, such payment will be made directly by the “Caisse de Dépôts et Consignation” to the bank account the shareholder has indicated.

 

ACEC shares – Acec-Union Minière tenths of shares

The Ateliers de Constructions Electriques (ACEC) shares (“part sociale au porteur” - “Titre créé après le 6 octobre 1944”) were exchangeable in 1989 for Acec-Union Minière tenths of shares.

These tenths of Acec-Union Minière shares can be recognized by the code 3628-39 (upper right corner of each share and coupon). These tenths of shares are only tradable on the monthly public sales but are not tradable on the Eurolist market of Euronext Brussels.

Two of these ACEC shares or two tenths of Acec-Union Minière shares are exchangeable for one Umicore share (ISIN code BE0003884047) through Fortis Bank (Service Caissier Corporate Actions – AMS 4i), rue Montagne du Parc, 3, B-1000 Brussels.

The Umicore shares are traded on the Eurolist market of Euronext Brussels.

It is advisable to contact Fortis Bank by e-mail (bpi.custody-ost-physical@fortis.lu) in order to receive all practical information for such exchange.

Please note that the former ACEC shares may not be longer exchanged for one tenth of Acec-Union Minière share. These shares are only exchangeable by multiple of two.

Please also note that coupon nr 14 of the tenths of Acec-Union Minière shares has been declared void.

Presently 2 tenths of Acec-Union Minière shares, coupons 18 and following attached give right to one Umicore dematerialised or registered share (BE0003884047)and to one Cumerio share with all coupons attached.
